Introduction

The following Terms of Service (“Terms”) govern all use of the FinImpulse website, dashboards, APIs, MCP interfaces, and all content, services, and products available at or through the Service (collectively, the “Service”). The Service is owned and operated by Veselka Technologies FZCO (“FinImpulse”, “we”, “us”, “our”).

The Service is offered subject to your acceptance, without modification, of all terms and conditions contained herein and all other operating rules, policies, and procedures (including, without limitation, the Privacy Policy) that may be published by FinImpulse from time to time.

By accepting these Terms, or by accessing or using the Service, you represent and acknowledge that you have read, understood, and agree to be bound by these Terms, and that the information you provide in connection with the Service is accurate, complete, and lawfully provided by you. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Description of Service

1.1 Scope of the Service

The “Service” includes:
(a) the FinImpulse website and dashboards;
(b) the FinImpulse on-demand data platform, tools, REST APIs, MCP interfaces, and related developer services; and
(c) other services, features, and content made available to you through the Service based on your selected plan, including software, data, text, documentation, and other materials (collectively, “Content”).

Any new features or services added to or augmenting the Service are also subject to these Terms.

Except where expressly identified otherwise, FinImpulse’s non-price market, financial, reference, analytical, and related datasets are compiled from publicly available information, public records, and/or aggregated third-party sources. Public availability does not, by itself, mean that every form of display, reproduction, redistribution, or onward commercial use is free from third-party rights or licensing requirements. Price data provided through the standard Service is not an exchange-certified real-time market-data feed and may be delayed, aggregated, or otherwise differ from official exchange real-time data.

1.2 Availability and Support

The Service may include basic or expanded support depending on the subscription plan. FinImpulse uses commercially reasonable efforts to make the Service available as described, except for:
(a) planned maintenance or downtime (with advance notice where reasonably practicable); or
(b) unavailability caused by circumstances beyond our reasonable control, including acts of God, government actions, civil unrest, network or infrastructure failures, or technical failures.

2. Data Privacy and Security

In providing the Service, FinImpulse maintains reasonable administrative, physical, and technical safeguards designed to protect the security and integrity of user account data. Data transmitted to the Service is protected using industry-standard encryption technologies, except when third-party integrations you select do not support encryption.

2.1 Security Vulnerability Reports

Security vulnerabilities may be reported to [email protected]. Reports should include the affected URL or component, reproduction steps, supporting evidence, and a description of the potential impact.

FinImpulse does not operate a public bug bounty program. Submission of a vulnerability report does not create any entitlement to payment, compensation, reward, public recognition, or engagement for security services unless expressly agreed by FinImpulse in writing before the report is submitted.

You must not perform disruptive testing, automated high-volume scanning, denial-of-service testing, social engineering, access or modify user data, or exploit a vulnerability beyond what is reasonably necessary to demonstrate its existence. FinImpulse may review and address reports at its discretion and does not commit to providing remediation details or status updates.

3. Billing, Plan Modifications, and Payments

3.1 General

The Service is offered on a subscription and/or usage-based basis and is billed according to the selected product, plan, billing cycle, or usage model.

3.2 Automatic Renewal

Subscriptions renew automatically according to the selected billing cycle, unless canceled before renewal. You are responsible for maintaining accurate billing information. You may access receipts and billing history through your account dashboard. No additional notice of renewal may be provided.

3.3 Plan Changes

Upgrades to subscription plans may result in prorated charges applied to the next billing cycle. Downgrading a plan may result in loss of access to features, data, or capacity. FinImpulse is not liable for any such loss. Fees are non-refundable, including for partial billing periods or unused service time, except where required by applicable law.

3.4 Payment Processing

Payments are processed by third-party payment providers. FinImpulse does not store payment card details and is not responsible for the data practices of payment processors. Billing information is used solely for payment processing purposes.

4. Changes to the Service or Terms

FinImpulse reserves the right, at its sole discretion, to modify or replace any part of these Terms or the Service. It is your responsibility to review the Terms periodically. Continued use of the Service following changes constitutes acceptance of the updated Terms.

5. Refund Policy

5.1 Subscription Fees

Fees paid for subscription-based plans (including dashboard access or bundled subscription packages) are non-refundable, except where required by applicable law. There are no refunds or credits for partial billing periods, unused time, plan downgrades, or account termination prior to the end of a billing cycle.

5.2 API Usage Fees

Fees for API usage are charged on a pay-as-you-go, usage-based basis and are non-refundable once usage has occurred, as API requests consume system resources at the time of execution.

FinImpulse does not provide refunds for API usage resulting from user-side errors, including but not limited to incorrect configuration, repeated or duplicate requests, misuse of endpoints, or failure to apply available usage controls.

In exceptional cases involving verified technical failures attributable solely to FinImpulse, we may, at our discretion, apply usage credits to your account. Cash refunds for API usage are not provided.

6. Refusal or Suspension of Service

FinImpulse reserves the right to refuse, suspend, or terminate access to the Service, at its sole discretion, including in cases of suspected misuse, violation of these Terms, non-payment, legal or regulatory risk, security risk, or activity that may materially harm FinImpulse, its infrastructure, data sources, partners, or other users.

7. Data License and Usage Rights

This Section 7 governs how data and Content obtained through the Service may be used. These permissions are subject to your selected plan, these Terms, and any applicable order form, written commercial agreement, dataset-specific notice, or third-party requirement communicated by FinImpulse.

7.1 Definitions

“FinImpulse Data” means market, financial, reference, analytical, news-related, or other data, values, records, fields, responses, metadata, and datasets made available through the Service.

“Raw Data” means FinImpulse Data provided in substantially the same form in which it is received from the Service. Changing the file format, transport method, field names, schema, or presentation does not, by itself, convert Raw Data into Derived Data.

“Derived Data” means information created through calculation, aggregation, transformation, analysis, modeling, summarization, or other processing of FinImpulse Data, where the underlying FinImpulse dataset cannot reasonably be reconstructed or extracted at scale from the resulting output.

“Commercial Application” means a website, mobile application, SaaS product, dashboard, report, analytics tool, AI system, automated workflow, or other product or service operated for business or commercial purposes.

“Redistribution” means providing FinImpulse Data, or a substantially equivalent reproduction of FinImpulse Data, to a third party independently of ordinary display or use within a Commercial Application.

7.2 Limited License to Use FinImpulse Data

Subject to these Terms, your applicable plan, and any rights or restrictions applicable to the relevant dataset, FinImpulse grants you a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use FinImpulse Data through the Service for your internal business purposes and, where applicable, as part of a Commercial Application.

No ownership right in the Service, FinImpulse Data, software, documentation, or other Content is transferred to you. Any rights not expressly granted under these Terms are reserved by FinImpulse and, where applicable, the relevant third-party rights holders.

7.3 Commercial Application Use and Display

Subject to your applicable plan and any dataset-specific restrictions, FinImpulse Data may be incorporated into your own Commercial Application and displayed to end users as part of the normal functionality of that application.

Permitted application-level use may include individual data points, tables, charts, company or fund pages, financial metrics, financial statements, ratings, estimates, holdings, analytical views, reports, and similar user-facing outputs generated using the Service.

Displaying FinImpulse Data within a Commercial Application in accordance with this Section does not, by itself, constitute prohibited Redistribution.

7.4 Storage, Caching, and Backend Processing

You may store and cache FinImpulse Data where reasonably necessary to operate your application, improve performance, maintain historical comparisons, perform calculations, generate analytics, or support AI and automated workflows.

Stored or cached FinImpulse Data must not be used to create or maintain a standalone database for resale, external data delivery, or prohibited Redistribution. Dataset-specific retention, refresh, attribution, deletion, or usage requirements communicated by FinImpulse take precedence over this general permission.

7.5 Derived Data and Analytics

You may use FinImpulse Data to create Derived Data, including calculations, analytics, scores, rankings, screeners, comparisons, alerts, summaries, models, indicators, and other analytical outputs as part of your own products and services.

Derived Data must not be structured, exposed, or made available in a manner that enables an end user or third party to reconstruct, extract, download, or otherwise obtain a substantial portion of the underlying FinImpulse Data.

7.6 AI and Automated Processing

FinImpulse Data may be used as input to artificial intelligence systems, language models, analytical models, agents, retrieval systems, and automated workflows, including through supported REST API or MCP interfaces, for the purpose of generating summaries, explanations, comparisons, analytics, alerts, and other Derived Data.

Use of FinImpulse Data for AI inference, retrieval, analysis, and generation is permitted under this Section, provided that the resulting system does not expose or allow reconstruction of the underlying FinImpulse dataset at scale.

Using substantial amounts of FinImpulse Data to train or fine-tune a model intended for resale, sublicensing, public distribution, or third-party access requires FinImpulse’s prior written authorization.

7.7 Limited End-User Exports

A Commercial Application may provide limited, application-level exports that are incidental to its ordinary functionality, such as a user exporting a report, watchlist, portfolio analysis, chart, or a limited set of displayed results.

Systematic, automated, bulk, or database-level exports that reproduce or permit extraction of a substantial portion of FinImpulse Data are prohibited unless expressly authorized in writing by FinImpulse.

7.8 Redistribution Restrictions

Standard access to the Service does not include the right to redistribute FinImpulse Data as a raw or substantially equivalent dataset.

Without prior written authorization from FinImpulse, you may not engage in Redistribution by providing third parties with:

bulk downloads or database exports of FinImpulse Data;
raw or substantially equivalent data feeds;
customer-facing APIs or other programmatic interfaces that expose FinImpulse Data;
white-label data feeds or data-delivery services;
sublicensed datasets; or
other mechanisms that allow third parties to retrieve substantial portions of FinImpulse Data independently of your Commercial Application.

7.9 Prohibition on Raw Data Resale

You may not sell, resell, license, sublicense, rent, distribute, or otherwise commercially provide Raw Data, or a substantially equivalent reproduction of FinImpulse Data, as a standalone dataset, data feed, database, API, downloadable file, or other data product.

You may not use the Service to create a product whose primary purpose is to provide third parties with access to substantially the same underlying data available through FinImpulse.

7.10 Database Reconstruction and Circumvention

You may not use automated requests, coordinated exports, account sharing, multiple accounts, schema transformation, or other technical or organizational methods for the purpose of reconstructing, duplicating, mirroring, or creating a substitute for a substantial portion of a FinImpulse dataset.

You may not circumvent usage limits, access controls, pricing controls, dataset restrictions, technical safeguards, or other measures used by FinImpulse to protect the Service or enforce these Terms.

7.11 Public-Source Data and Third-Party Rights

Except where specifically identified otherwise, non-price datasets made available through FinImpulse are compiled from publicly available information and public records, including information published by issuers, regulators, government bodies, exchanges, and other public sources. FinImpulse may also use third-party technical or aggregation providers to collect, normalize, or deliver such information.

The fact that information is publicly accessible or made available through FinImpulse does not constitute a representation that every downstream use is unrestricted or exempt from third-party rights. A source, exchange, vendor, publisher, or other rights holder may impose requirements relating to attribution, display, retention, translation, reporting, reproduction, redistribution, professional use, or other forms of commercial use.

Any dataset-specific or third-party requirements communicated by FinImpulse, or otherwise applicable to your use of the relevant source or data, supplement these Terms and take precedence to the extent of any conflict. You are responsible for determining whether your particular use case requires any additional third-party authorization, consent, approval, registration, or license, and for complying with those requirements.

7.12 Market Price Data and Exchange Licenses

Price data provided through the standard FinImpulse Service is not an exchange-certified real-time market-data feed. It may be delayed, aggregated, normalized, or otherwise differ from official exchange real-time data. Standard FinImpulse fees do not include exchange-specific real-time display, professional-user, redistribution, or onward-distribution licenses unless FinImpulse expressly states otherwise in writing.

If your use case requires official or exchange-certified real-time prices, direct exchange data, professional display rights, redistribution, onward delivery, or any other use subject to exchange, vendor, publisher, or source-specific licensing, you are responsible for determining and obtaining the required approvals or licenses and for paying any related third-party fees. FinImpulse does not act as an exchange licensing agent and is not responsible for obtaining, maintaining, or paying for licenses required solely because of your particular use, display, distribution model, jurisdiction, customer type, or downstream product. FinImpulse’s failure to identify a potential third-party licensing requirement does not waive, satisfy, or transfer that requirement.

7.13 Prohibited Misuse of Data Sources

You must not use FinImpulse Data or Content to misappropriate, unlawfully exploit, or knowingly violate the rights of the sources from which such data originates. You must not represent that FinImpulse grants rights that FinImpulse has not expressly granted under these Terms or an applicable written agreement.

8. Disclaimer and Limitation of Liability

8.1 Disclaimer

The Service and all Content are provided on an “as is” and “as available” basis. FinImpulse makes no warranties, express or implied, regarding availability, accuracy, completeness, timeliness, reliability, or fitness for a particular purpose.

FinImpulse is not responsible for service interruptions, data loss, errors, source delays, third-party data changes, or any estimated profits, outcomes, investment results, or business decisions based on use of the Service. FinImpulse is also not responsible for a customer’s failure to obtain any exchange, vendor, publisher, source-specific, or other third-party license or approval that is required for the customer’s own use of the data.

8.2 Limitation of Liability

To the maximum extent permitted by law, FinImpulse shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, business opportunity, goodwill, or data. Any liability that cannot be excluded shall be limited to the fees paid by you for the Service during the three (3) months preceding the claim.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law principles.
